Terms of Service

These Terms of Service govern your use of this website and the business-to-business supply of XUYU solar lighting products. By using this site, you agree to these terms.

1. Use of the website

This website provides product information for wholesale buyers. Product descriptions, specifications and prices are for information only and do not constitute a binding offer. A sale is governed by the written quotation / proforma invoice (PI) accepted by both parties.

2. Products

  • Lumen and runtime figures are independent laboratory reference values measured under specific conditions; actual results vary with solar charge, battery age and operating conditions.
  • Dimensions, weights, colours and packaging are approximate and may be improved or changed; confirmed values are stated on the PI.
  • Products are designed for off-grid use and rely on adequate sunlight to recharge.

3. Orders, pricing and payment

  • A quotation is valid for the period stated on it and is subject to minimum order quantity (MOQ) and product availability.
  • Prices, currency, Incoterms (e.g. EXW, FOB or CIF), payment method and schedule are agreed in the PI. No payment is collected through this website.
  • An order is confirmed once we accept it and, where applicable, the agreed deposit is received.

4. Shipping and delivery

Delivery terms and the transfer of risk follow the Incoterms stated on the PI. Delivery dates are estimates. Unless otherwise agreed in writing, the buyer is responsible for import customs clearance and all destination duties, taxes and compliance requirements, which for Kenya may include PVOC/CoC inspection, import duty, IDF, RDL and VAT.

5. Warranty and returns

Products carry the limited manufacturer warranty stated for the relevant model. Claims for manufacturing defects must be raised within the period agreed in the PI with supporting photos or evidence. The warranty does not cover misuse, accident, unauthorised repair, water damage beyond the product rating, or normal battery wear. Shipping for valid returns follows the agreed return process.

6. Intellectual property

The XUYU name, logos, images and website content are owned by us or our suppliers and may not be copied or used without permission. OEM/private-label arrangements are governed by separate written agreement.

7. Third-party links and services

This site links to third parties such as WhatsApp, Google and WeChat. We are not responsible for the content, availability or policies of third-party services.

8. Disclaimer and limitation of liability

The website is provided "as is" without warranties of uninterrupted availability. To the maximum extent permitted by law, our total liability relating to any product shall not exceed the amount paid for that product, and we shall not be liable for indirect or consequential loss (including loss of profits or business).

9. Governing law and disputes

These terms and any sale are governed by the law and dispute-resolution clause agreed in the PI. In the absence of such a clause, disputes will first be handled by good-faith negotiation and, failing that, resolved under the laws of the People's Republic of China.

10. Changes

We may update these terms; continued use of the site after changes constitutes acceptance.
